         <p>Hintergrund der Untersuchung ist die zunehmende Bedeutung von Humankapital als wettbewerbsentscheidendem Produktionsfaktor in modernen humankapitalintensiven Unternehmungen. Es stellt sich die Frage nach den Auswirkungen der Bedeutungszunahme und der Regelung des &#8222;Primärhumankapitals&#8220;, also des Managements innerhalb der Corporate-Governance-Systeme. </p>
         <p>Den Ausgangspunkt stellt die These dar, dass die ausschließliche Modellannahme der klassischen Prinzipal-Agent-Beziehung unzureichend ist, zu Ineffizienzen führt und keine hinreichende Antwort auf das von Berle und Means beschriebene Problem der Trennung von Eigentum und Kontrolle gibt. Ziel der Untersuchung ist es, diesem Phänomen vor dem Hintergrund der angestrebten Induzierung und Bindung von Humankapital analytisch nachzugehen. Nach einer Einführung in das Problem im Kontext der wissenschaftlichen Corporate-Governance-Diskussion wird Humankapital als wettbewerbsentscheidende Ressource untersucht. </p>
         <p>Ergänzt man die Analyse der Shareholderperspektive um eine Betrachtung aus der Managementperspektive, so ergibt sich aus deren Konfrontation miteinander folgendes Dilemma: Einerseits ist aus Sicht der Shareholder Humankapital schwer kontrollierbar, ein Effekt, der durch die Fähigkeit des Managements sich der Kontrolle zu entziehen zum einen erst begründet und zum anderen zusätzlich verstärkt wird. Andererseits besteht aus Sicht des Managements kein maximaler Anreiz, Humankapital zu investieren und im Unternehmen zu binden, da sich die Rechte am Humankapital als nicht oder allenfalls als indirekt sicherbar erweisen. Unter Zugrundelegung der vorherrschenden Auffassung der Unternehmung und ihrer Ausprägung in Corporate-Governance-Systemen kann geschlussfolgert werden, dass Ineffizienzen vorliegen.</p>
         <p>Es bedarf eines hci-unternehmensspezifischen Corporate-Governance-Ansatzes, der zur Optimierung der Effizienz einer humankapitalintensiven Unternehmung die beiden folgenden konfligierenden Positionen in Einklang bringt: die Sicherung der Interessen der Finanzkapitalinvestoren, also der Shareholder, einerseits und der Humankapitalinvestoren, also des Managements, andererseits. Erst die Anerkennung dieses systeminhärenten Interessenkonfliktes kann zu einem Lösungsansatz führen, der die Realisierung eines höheren Effizienzgrades ermöglicht.</p>
         <p>Als vereinfachte Praxishinweise können genannt werden: die notwendige analytische Bewertung der Unternehmung hinsichtlich ihrer (Primär-) Humankapitalintensität und die Bewertung des Primärhumankapitals selbst; die Maximierung der Freiheitsgrade zu dem Zweck, unternehmerisches Handeln durch das Primärhumankapital, das Management, zu fördern, mit der damit verbundenen Intention einer maximalen Induzierung und Bindung von Humankapital; die Gestaltung von längerfristigen Beziehungen zwecks Gestaltung und Aufrechterhaltung von sich selbst durchsetzenden Verträgen auf Grundlage von Reputation und Loyalität, unter Beachtung des Mechanismus Zugang, das heißt gezielte Auswahl zum Beispiel der Zugehörigkeit zu einer Community, hinsichtlich der globalen Unternehmensentwicklung, insbesondere im Bereich der Hci-Corporate; die Einführung internationaler Standards für ein normatives System im Bereich der Schnittstellenkontrolle zwischen Shareholder und Management, Rechenschaftspflicht und Verantwortlichkeit insbesondere im Bereich der Informationsveröffentlichungen, Priorisierung von Supervision gegenüber Expertise in Organen wie dem Aufsichtsrat, unter Abwägung, im Einzelfall auch unter Abschaffung der Arbeitnehmermitbestimmung (Sekundär-, Tertiärhumankapital). </p>

         <p>This study is based on the growing significance of human capital as competition decisive production factor in modern enterprises, which are intensive in human capital. We reflect upon the consequences of the increasing significance and the regulation of "primary human capital", i.e. the management structure within the corporate governance systems.</p>
         <p>Our starting point is that the exclusive assumption of the classical principal-agent-relation is inadequate, leads to inefficiencies, and does not give satisfactory answers to the problem of the separation of property and control as described by Berle and Means. This survey's objective is to give an analysis of this phenomenon against the backdrop of the aspired induction and binding of human capital. After an introduction to the problem in the context of the academic discourse on corporate governance, human capital is explored as a resource decisive in competition.</p>
         <p>If we add the manager's perspective to the shareholder's perspective in the analysis, this confrontation results in a dilemma that can be described as follows: From the shareholder's viewpoint, human capital is difficult to control; this is an effect that is caused by the management's ability to evade control on the one hand, and on the other this ability enhances the effect. From the management's viewpoint, however, there is no maximum incentive to invest human capital and create bonds within the company, since the rights to human capital cannot, or at least not directly, be assured. Based on the general assumption of the enterprise and its parameters in corporate governance systems we can conclude that there are inefficiencies.</p>
         <p>We need an hci-specific approach to corporate governance that reconciles two conflicting actors in order to optimize efficiency in a human capital intensive enterprise. It is necessary to secure the interests of these actors, the financial capital investors, i.e. the shareholders, and the investors of human capital, i.e. the management. Acknowledging the conflict of interest inherent in the system alone can lead to an approach that makes a higher degree of efficiency realistic.</p>
         <p>We could name the following simplified indices for practice: </p>
         <p>
            <ul>
               <li>
                  <p>The necessary analytical assessment of the enterprise regarding its (primary) human capital intensity and the assessment of the primary human capital as such; </p>
               </li>
               <li>
                  <p>The optimization of the degree of freedom to promote entrepreneurial activities by primary human capital, i.e. the management; with the accompanying intention of maximal induction and bonding of human capital;</p>
               </li>
               <li>
                  <p>The development of long-term relations to design and maintain self-fulfilling contracts based on reputation and loyalty, also considering the mechanism of access. That means the targeted selection of communities, regarding the global development of the company, especially regarding Hci corporate; </p>
               </li>
               <li>
                  <p>The introduction of international standards for a normative system to control the interface between shareholder and management, the accountability and responsibility especially in information policy, prioritize the supervision of expertise in bodies like the advisory council, with the discretion to abolish the participation of employees in single cases (secondary and tertiary human capital).</p>
